Blue Cube Bespoke Limited – Terms and Conditions for Manufactured Dovetail Drawer Boxes
- Governing Conditions
All sales contracts entered by Blue Cube Bespoke Limited (registered in Northern Ireland No. NI061181, located at 22 Edgar Road, Edgar Industrial Estate, Carryduff, BT8 8AN) are exclusively governed by these Terms and Conditions. Any alternative terms or conditions provided by you, the purchaser, are excluded from the contract and shall not form part of the agreement.
These Terms and Conditions may only be amended, suspended, or supplemented with prior written consent from Blue Cube Bespoke Limited (referred to as “we,” “us,” or “our”).
- Delivery and Risk
(a) The specified delivery time and date are not considered essential to the contract.
(b) Risk associated with the goods transfers to you upon delivery.
(c) You must notify us of any discrepancies, such as shortages or damages, within seven days of receipt. If the goods cannot be inspected at the time of delivery, the delivery document must be marked as “Unexamined.”
(d) We reserve the right to make partial deliveries, issue invoices for delivered goods, and expect payment in accordance with our payment terms.
- Return of Goods
Goods deemed defective or not in accordance with your order, and accepted as such by us, will be replaced. Claims for labour or associated costs are not accepted.
Custom-made (bespoke) products that have been supplied correctly per your instructions are non-returnable.
Orders for unwanted goods may be cancelled only if the order has not been initiated or processed.
If an order arrives incomplete or damaged during transit, you must inform us within seven days of delivery via phone, mail, or email.
- Timber Used, Finish, Sanding, and Fillers
Our drawer boxes are manufactured using engineered timber, 15mm thick, graded A and B. The A side typically faces outward, while the B side faces inward.
All drawer boxes are supplied as bare wood. We do not offer a wood finishing service; customers are responsible for applying their own finish.
Wooden goods are sanded to a 120 grade to remove flaws. Additional sanding may be required by the customer before applying their chosen finish.
Minimal wood fillers may be used to address minor flaws.
- Prices
All quoted prices are exclusive of VAT, which is applied at the prevailing rate at the time of invoicing. Prices are specific to each order and may be revised or withdrawn without notice. Unless agreed otherwise in writing, the applicable price will be that in effect at the time of dispatch.
Additional charges may apply for special delivery requirements, including but not limited to overnight delivery, direct-to-site delivery, or non-standard packaging.
- Payment
(a) For approved monthly accounts, unless otherwise agreed in writing, payment is due at the time of the order. Deliveries may be suspended if payments are declined.
(b) Directors or partners of your business agree to unconditionally and irrevocably indemnify us against any losses, costs, claims, liabilities, damages, demands, or expenses arising from your failure to fulfil obligations under the contract or resulting from your ceasing to be liable for obligations assumed under our terms.
- Representations, Warranties & Liabilities
(a) Except as expressly stated, and to the fullest extent permitted by law, all warranties, conditions, and representations regarding the quality or fitness of goods for any purpose are excluded. However, we will transfer to you any warranties provided by our suppliers to the extent possible.
(b) We accept no liability for defects resulting from normal wear and tear, wilful damage, negligence, abnormal conditions, misuse, or unauthorized alterations to the goods.
(c) We accept no liability for direct, consequential, or other losses or damages incurred by you. You agree to indemnify us fully against third-party claims related to the goods or arising from the contract. Our liability is limited to the price of the concerned goods.
(d) You acknowledge that you are not relying on our expertise or judgment regarding the goods.
(e) Representations not confirmed in writing by one of our directors cannot be relied upon.
(f) Our pricing reflects these terms and conditions, and you accept the associated limitations and exclusions of liability.
- Retention of Title
(a) Risk and responsibility for insuring items pass to you upon delivery.
(b) Title to the goods remains with us until all amounts owed are paid in full.
(c) You may sell the goods in the normal course of business, but all proceeds from such sales remain our property and must be accounted for upon demand.
(d) Full ownership does not transfer to you until payment is received for all goods supplied under this and any other contracts between us.
(e) We or our authorized agents may enter your premises to reclaim goods in the event of non-payment.
- Force Majeure
We shall not be liable for failure to fulfil our obligations due to circumstances beyond our control, including but not limited to industrial action, war, terrorism, fire, flood, extreme weather, transport delays, strikes, explosions, energy supply failures, riots, governmental interference, malicious damage, or machinery breakdowns.
- Data Protection
We may process your credit application by making inquiries with credit reference agencies or other third parties, who may record these inquiries. We may also disclose information about your account conduct to such entities. This information may be used for assessing further credit applications, debt collection, tracing, and fraud prevention.
- General
(a) Failure by either party to enforce any term or right under these conditions does not constitute a waiver of such term or right.
(b) If any provision within these conditions is deemed invalid or unenforceable, the remaining provisions shall remain valid.
(c) No person who is not a party to the contract is entitled to enforce its terms under the Contracts (Rights of Third Parties)
(d) These conditions and related contracts are governed by and construed in accordance with English and Northern Ireland law. Both parties submit to the exclusive jurisdiction of the local courts.
